1. Agreement to Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and GERNEX TECH PRIVATE LIMITED ("Company", "we", "us", or "our"), a private limited company incorporated under the laws of India. These Terms govern your access to and use of our website located at gernextec.com, our software platforms, and all iOS and Android mobile software applications published by GERNEX TECH PRIVATE LIMITED.

By accessing our website, downloading our applications, or using any of our software services, you agree to be bound by these Terms. If you do not agree to all of these Terms, you are expressly prohibited from using our services and applications and must discontinue use immediately.

2. Intellectual Property Rights

Unless otherwise indicated, the website, web platforms, and mobile software applications—including all source code, software binaries, database architectures, user interface designs, audio/video elements, graphics, text, and trademarks—are the exclusive intellectual property of GERNEX TECH PRIVATE LIMITED and are protected by copyright, trademark, and patent laws of India and international treaties.

Except as expressly provided in these Terms, no part of our website or software applications may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our express prior written authorization.

3. Mobile & iOS Application License Grant

Subject to your compliance with these Terms, GERNEX TECH PRIVATE LIMITED grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use our mobile software applications on personal mobile devices (iOS / Android) strictly in accordance with the application's documentation and applicable App Store Rules.

A. License Restrictions

You agree that you shall not, directly or indirectly:

• Decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt any application binary or firmware module.
• Make any modification, adaptation, improvement, enhancement, translation, or derivative work from our software applications.
• Violate any applicable laws, rules, or regulations in connection with your access to or use of the application.
• Remove, alter, or obscure any proprietary notice (including copyright or trademark notices) posted by the Company.
• Use the application for creating a product, service, or software that is directly or indirectly competitive with GERNEX TECH PRIVATE LIMITED.

4. Apple App Store Terms Compliance

If you download or access our applications from the Apple App Store, you acknowledge and agree that:

• These Terms are concluded solely between you and GERNEX TECH PRIVATE LIMITED, and not with Apple Inc. ("Apple"). GERNEX TECH PRIVATE LIMITED is solely responsible for the software and content thereof.
• Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the application.
• In the event of any failure of the application to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) in accordance with Apple's Media Services Terms. Apple will have no other warranty obligation whatsoever.
• Apple is a third-party beneficiary of these Terms and has the right to enforce these Terms against you as a third-party beneficiary.

5. In-App Purchases & Subscriptions

Certain features within our mobile applications may be offered on a paid subscription or one-time purchase basis. All digital purchases made through iOS applications are processed securely via Apple In-App Purchases and are subject to Apple's standard billing terms. Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period in your Apple ID Account Settings.

6. Disclaimer of Warranties

OUR WEBSITE, SOFTWARE PLATFORMS, AND MOBILE APPLICATIONS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, GERNEX TECH PRIVATE LIMITED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SOFTWARE APPLICATIONS WILL BE UNINTERRUPTED, ERROR-FREE, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED IMMEDIATELY.

7. Limitation of Liability

IN NO EVENT SHALL GERNEX TECH PRIVATE LIMITED, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES—INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF OUR WEBSITE OR MOBILE APPLICATIONS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles. You expressly agree that any legal action, dispute, or proceeding arising out of or relating to these Terms or your use of our software services shall be subject to the exclusive jurisdiction of the competent courts located in Hyderabad, Telangana, India.
